Nancy D. Lieberman is a partner in the corporate and banking department. She has practiced corporate and securities law for over twenty years.

Ms. Lieberman counsels public and private businesses and private investors on a full range of matters, providing counsel on both a regular basis and in connection with extraordinary transactions. Her years of corporate practice provides her with extensive experience to advise companies from the earliest stage of formation through financings, offerings (private offerings, IPOs, PIPEs, follow-on and secondary offerings), M&A events (stock and asset acquisitions -- including by merger and negotiated tender offer -- and divestitures) and going-private transactions.

Over her career, Ms. Lieberman has regularly acted as corporate counsel to a number of public companies in diverse industries. As corporate counsel, she provides advice to businesses, Boards of Directors, Board committees (compensation, audit and governance) and directors with respect to governance, compliance and disclosure matters, as well as regarding ordinary course and extraordinary transactions.

Significant matters handled by Ms. Lieberman include:

Representation of a leading supplier of enterprise-wide software solutions for health and human services providers, in connection with its $115 million going-private merger with funds affiliated with private equity firms.

Representation of a leading global distributor of advanced technology semiconductor, display and system solutions to a wide variety of commercial original equipment manufacturers and electronic manufacturing services providers in connection with a $150 million line of credit with eight banks.

Representation of purchaser in connection with $90 million acquisition (stock and related assets) of a test and measurement company located in the United Kingdom and Asia.

Representation of purchaser in connection with $38 million acquisition (stock and asset) of a test and measurement company located in the United States, United Kingdom, Europe and Asia.

Representation of lender in connection with bridge financing facility for the initial public offering of a medical computer network company. Subsequent representation of lender (as purchaser) in acquisition of majority interest in the above-mentioned publicly-traded medical computer network company.

Representation of microelectronics and test and measurement company issuer in connection with $90 million and $37.375 million follow-on offerings and $96.2 million shelf-offering.

Representation of issuer in connection with initial public offering of software products company and subsequent $42 million follow-on offering.

Representation of issuer in connection with $6 million PIPE transaction.

In April 2007, Ms. Lieberman was elected to the Board of Directors of Friends of the Arts (FOTA). She is a member of The Women's Financial Group and of the Women's Executive Network. Ms. Lieberman is also a founder of Single Working Inspired Moms (S.W.I.M.), a support and networking group for working single mothers.

Prior to joining Farrell Fritz, Ms. Lieberman was a partner at a Long Island-based corporate securities boutique, concentrating in the representation of five public companies. She started her career as a corporate associate in a prominent mid-sized New York City law firm focusing on sophisticated corporate securities, merger, acquisition and divestiture transactions.

Ms. Lieberman received her Juris Doctor degree in 1985 from New York University School of Law, where she was an editor on the Journal of International Law and Politics. She earned her Bachelor of Arts degree from Hofstra University in 1982.

Ms. Lieberman has an AV Martindale-Hubbell Peer Review Rating. She is admitted to practice in New York State.
