A.J. Swartwood is a corporate attorney representing middle market companies in mergers and acquisitions, buyouts, public and private securities offerings, and general corporate and securities law matters. He has worked on financial transactions both domestically and internationally.
As a part of his practice, A.J. has advised sell-side and buy-side clients in strategic and financial acquisitions, add-ons, and restructuring transactions. Additionally, he has worked with issuers and underwriters in private placement of high yield debt securities (often related to acquisitions), as well as negotiating various licensing and ancillary agreements.
Prior to joining the firm, A.J. was a corporate associate in both the New York City office of a large global law firm and a large regional law firm.
A.J. is fluent in Spanish and has worked with New York-based human rights organizations in representing clients in deportation hearings as part of his pro bono practice.

- Represent public and private companies, private equity and other asset managers in asset purchases, mergers, insurance investments and general corporate matters in transactions with values ranging from $75 million to $35 billion.
- Draft and negotiate definitive transactional documentation, including term sheets, purchase and merger agreements, complex bond offering memoranda, subscription agreements, legal opinions, auditor comfort letters and indentures.
- Conduct and lead due diligence review and preparation of disclosure schedules, due diligence memoranda, negotiation and finalization of transaction insurance policies.
